Referral Program – Terms and Conditions

1. Overview

The OnSinch Referral Program (the “Referral Program”) has been established by OnSinch, s.r.o. (“OnSinch”) to appreciate and reward the loyalty of its customers and other persons (each a “Referrer”) who, via a form, email or telephone, provide OnSinch with the contact details of a company that may be interested in OnSinch’s products and services and that enters into a contract with OnSinch (the “Referred Company”). The Referrer and the Referred Company must meet the eligibility criteria set out below in these terms and conditions (the “Referral Program Terms”).

By participating in the Referral Program, the Referrer acknowledges that he has read these Referral Program Terms and agrees to them.

The current version of the Referral Program Terms may be accessed at any time on this web page. OnSinch reserves the right to update, change or otherwise modify these Referral Program Terms, or any part thereof, at any time by publishing a new version of the Referral Program Terms on this web page.

Rights and obligations arising from the Referral Program may only be established in locations where OnSinch services are available.

2. Period of validity

OnSinch reserves the right to terminate the Referral Program at any time with immediate effect and without giving any reason.

The termination of the Referral Program shall be without prejudice to the right of the Referrer to be granted a reward for a referral submitted to OnSinch prior to the termination of the Referral Program.

3. Eligibility criteria

The rights and obligations established by these Referral Program Terms shall arise for an eligible Referrer who refers an eligible Referred Company.

An eligible Referrer is (a) an OnSinch customer holding an active license to the OnSinch software (a “Referring Customer”), or (b) any other natural person over 18 years of age or legal entity that is not an OnSinch customer, in particular a Referral Program ambassador, a former employee or associate of an OnSinch customer, or a consultant or business partner of OnSinch (a “Non-Customer Referrer”).

Whether a Referrer is a Referring Customer or a Non-Customer Referrer shall be determined as of the moment the right to the reward arises pursuant to Article 4 of these Referral Program Terms.

A Non-Customer Referrer joins the Referral Program by providing OnSinch, no later than together with the submission of his first referral, with his identification details (for a natural person: first name, surname, date of birth and residential address; for a legal entity or a natural person acting as an entrepreneur: business name or name, registered office and company identification number (IČO) and, where applicable, tax identification number (DIČ)), a contact email address and the bank account number for payment of the reward. OnSinch is entitled to request documentary evidence of such details and to withhold payment of the reward until such details have been duly provided.

The following persons are not eligible Referrers: (i) employees of OnSinch, members of its corporate bodies and any person who acquires customers for OnSinch for consideration under another contract; and (ii) any person who, on the part of the Referred Company, decides on, or participates in the decision on, entering into a contract with OnSinch.

An eligible Referred Company is a company that, following the referral, enters into a license agreement with OnSinch for a minimum term of 12 months with an agreed license fee of at least EUR 200 per month, excluding VAT.

4. Reward conditions

The Referrer first identifies a company that could benefit from OnSinch’s products and staff management software solutions.

The Referrer then provides OnSinch with the contact details of the company he has identified via the online form, email or telephone. Upon receipt of the contact details, OnSinch will take over communication with the identified company for the purpose of negotiating the conclusion of a contract.

Referrals must be made in good faith that OnSinch’s services may be beneficial to the Referred Company. The Referrer must refrain from spamming, mass mailing of unsolicited emails or any other form of unsolicited communication with third parties. If the Referred Company has its registered office in the Federal Republic of Germany, the Referrer shall provide OnSinch with evidence of the Referred Company’s consent to communication from OnSinch regarding OnSinch’s services. The Referrer is responsible for ensuring that he is entitled to disclose the contact details of the Referred Company and its representatives to OnSinch in compliance with personal data protection laws. When making a referral, the Referrer must not use or disclose any information in respect of which he is bound by a duty of confidentiality (in particular towards its current or former employer or contractual partner), nor otherwise breach its obligations towards such persons.

A referral is considered successful and gives rise to the Referrer’s right to a reward if, within 12 months from the referral submission, the Referred Company enters into a license agreement with OnSinch for OnSinch software solutions for a minimum term of 12 months with an agreed monthly license fee of at least EUR 200, excluding VAT, and makes the first payment of the monthly license fee. Upon cumulative fulfillment of these conditions, the Referrer shall receive a reward of up to EUR 2,700, in the amount and under the conditions set out in Article 6 of these Referral Program Terms.

Rewards granted under the Referral Program are cumulative, and there is no limit on the number of companies that a Referrer may refer to OnSinch.

5. Exclusions from Reward Eligibility

Under the Referral Program, no reward may be granted for referrals of companies that are directly or indirectly related to or affiliated with the Referrer. In particular, no right to a reward shall arise for referrals of:

• a parent or subsidiary company of the Referring Customer;
• companies that are part of the same holding or corporate group as the Referrer;
• other companies or entities that are controlled by the same person as the Referrer or in which such person exercises decisive influence;
• companies or other entities which are controlled by the Referrer, where the Referrer is a natural person, or by a person close to the Referrer, in which the Referrer is a member of the statutory or any other body, or in which the Referrer holds a direct or indirect interest.

Furthermore, no reward may be granted for referrals of companies that are current active customers of OnSinch or of companies whose contractual relationship with OnSinch ended during the 12 months prior to the referral submission to OnSinch.

6. Reward structure and receiving

The amount of the reward is based on the amount of the Referred Company’s monthly license fee under the contract concluded between the Referred Company and OnSinch. Under the conditions of this Referral Program, the Referrer shall receive a reward equal to 150% of the Referred Company’s monthly license fee, excluding VAT, up to a maximum of EUR 2,700 for each individual successful referral.

The reward will be provided to the Referring Customer in the form of a discount on the Referring Customer’s license fee(s) for the OnSinch software under the active contract concluded by him, which are invoiced after the Referred Company has entered into a contract with OnSinch and made the first payment of the license fee. The discount cannot be applied to license fees invoiced to the Referring Customer before the conditions giving rise to the right to the reward were cumulatively fulfilled.

If the reward exceeds the amount of the Referring Customer’s monthly license fee, the remaining amount will be applied to subsequent license fee invoices until it is exhausted. If there are no such subsequent invoices, the right of the Referring Customer to be granted the remaining part of the reward ceases to exist.

The reward may be provided to the Referring Customer exclusively in the form of a discount on the Referring Customer’s license fees for the use of the OnSinch software. No provision of these Referral Program Terms establishes any right of the Referring Customer to payment of the reward or any part thereof in cash, nor any corresponding obligation of OnSinch.

A Non-Customer Referrer who is not an entrepreneur shall be paid the reward in cash on the basis of a referral reward agreement, which the Non-Customer Referrer will be invited to conclude within 30 days of the cumulative fulfillment of the conditions giving rise to the right to the reward pursuant to Article 4 of these Referral Program Terms. The reward will be paid by bank transfer in EUR to the bank account specified in the relevant agreement. If the Non-Customer Referrer is an entrepreneur, the reward shall be payable on the basis of a tax document (invoice) issued by the Non-Customer Referrer after the said conditions have been fulfilled, within 30 days of its delivery to OnSinch.

If the Non-Customer Referrer fails to duly provide the details required for payment of the reward within 6 months of OnSinch’s written request, the right to payment of the reward ceases to exist.

The Referrer is not entitled to unilaterally set off his claim to the reward against any monetary claim of OnSinch against the Referrer.

7. Referred Company referred by multiple Referrers

If the Referred Company is referred by multiple Referrers during the term of this Referral Program, the right to be granted a reward under the conditions of this Referral Program shall arise only for the Referrer who was the first to submit the referral to OnSinch, based on the timestamp of the referral submission.

8. Important disclaimers

OnSinch reserves the right to change or modify these Referral Program Terms at any time at its sole discretion and without prior express notice. OnSinch is also entitled, at its sole discretion, to change, cancel or modify one or more rules of the Referral Program at any time without prior notice. Continued participation in the Referral Program after any modification of the Referral Program Terms shall constitute the Referrer’s consent to such modification.

OnSinch also reserves the right to disqualify any Referrer from further participation in the Referral Program at any time if OnSinch has a good faith belief that the Referrer has violated any of the provisions of these Referral Program Terms.

OnSinch processes the personal data of Referrers who are natural persons to the extent necessary for participation in the Referral Program, in particular for recording referrals, verifying fulfillment of the Referral Program conditions and paying rewards, on the legal basis of the performance of a contract and compliance with OnSinch’s legal obligations.
